Mid-Season Sale Policy

1. Who is AJIO?

Reliance Retail Limited, a company incorporated under the laws of India, having its registered office at 3rd Floor, Court House, Lokmanya Tilak Marg, Dhobi Talao, Mumbai – 400 002, Maharashtra, India ("AJIO") is a retail company which offers various retail solutions through its desktop and mobile website www.ajio.com including online lifestyle and fashion solutions, which inter alia facilitates the sale and purchase of lifestyle and fashion merchandise ("Products") by users of the Website ("Users")

2. What is this Mid-Season Sale Policy?

2.1. AJIO from time to time, organises various promotions, contests, offers including discounts, vouchers, coupons, campaigns, and sales with respect to the Products sold on the Website. In doing so, AJIO's primary object is to encourage and sustain User interest in the Products and ensure User satisfaction. It is specifically clarified that all discounts offered by AJIO as a part of its promotions on the Products shall exclude all convenience charges including, charges that may accrue on the delivery of the Products to the Users, if any.

2.2. This mid-season sale policy ("MSS Policy"), together with the terms and conditions, the privacy policy, the fee, payments and promotions policy, and the delivery policy sets out AJIO's procedures and policies in offering a mid-season sale on the Products sold on the Website to the Users ("Mid-Season Sale"). In addition to this MSS Policy, any return of the Products by Users shall also be governed by, and be subject to the terms and conditions set out under AJIO's returns and refunds policy.

2.3. Users are required to peruse and understand the terms of this MSS Policy. If you do not agree to the terms contained in this MSS Policy, you are advised not to accept the Terms of Use and may forthwith leave the Website. The terms contained in this MSS Policy shall be accepted without modification and you agree to be bound by the terms contained herein by initiating a request for purchase of Product(s) on the Website. If there is any conflict between the MSS Policy and any other policies of AJIO, the MSS Policy shall prevail.

3. Terms of the Mid-Season Sale

3.1. The Mid-Season Sale will commence at 09:00 AM, on Monday, 30 May 2016, and will continue until Monday, 6 June 2016 ("Term"). During the Term, AJIO will offer the following offers on select Products on the Website: (a) Trade Discounts, and (b) Coupon Discounts (together, the "Discounts"). Notwithstanding the Term, the Mid-Season Sale will be operational only until stocks last, and AJIO shall reserve the unconditional right to modify, suspend, or cancel the Mid-Season Sale at any time during the Term.

3.2. Trade Discounts: Trade discounts are regular discounts which are provided by AJIO for the benefit of Users from time to time. The trade discounts are independent of the Mid-Season Sale, and will be extended to only a select range of Products as indicated on the Website ("Trade Discounts"). The Trade Discounts shall offer discounts up to a certain percentage on the maximum-retail price ("MRP") of the Products, and the User will only be required to pay the MRP of the Product as reduced by the amount of Trade Discount ("List Price"). The range of Trade Discounts offered on a Product may increase or decrease at any time during the Mid-Season Sale at the sole discretion of AJIO, and AJIO shall not be required to serve a prior written notice intimating such change in the range of discounts to the Users.

3.3. Voucher Discounts: In addition to the Trade Discounts, AJIO will also offer voucher discounts on a select range of Products as indicated on the Website ("Voucher Discounts"). All Products available for sale on the Voucher Discount, may not necessarily have an applicable Trade Discount, and any combination thereof with Trade Discounts shall be at the sole discretion of AJIO. Voucher Discounts will be levied in the manner as set out below:

3.3.1. 10% discount on the List Price (or the MRP if there is no Trade Discount) of a Product which is eligible for Voucher Discount, provided the gross value of a single order placed by the User on the Website is greater than INR 999;
3.3.2. 15% discount on the List Price (or the MRP if there is no Trade Discount) of a Product which is eligible for Voucher Discount, provided the gross value of a single order placed by the User on the Website is greater than INR 1,499;
3.3.3. 20% discount on the List Price (or the MRP if there is no Trade Discount) of a Product which is eligible for Voucher Discount, provided the gross value of a single order placed by the User on the Website is greater than INR 1,999; and
3.3.4. 25% discount on the List Price (or the MRP if there is no Trade Discount) of a Product which is eligible for Voucher Discount, provided the gross value of the entire order placed by the User is greater than INR 2,499.

3.4. Notwithstanding anything to the contrary in the MSS Policy, a User shall at no time during the Term, be eligible to receive Discounts on a Product which cumulatively exceed 45% of the MRP of such Product. If the User attempts to purchase any Product on the Website for which applicable Discounts cumulatively exceed 45% of the MRP of such Product, AJIO will automatically reduce the amount of Discounts on such Product to 45% of the MRP of such Product.

3.5. AJIO reserves the right to cancel any purchase of the Products carried out using means including, but not limited to, invalid or unauthorized use of Discounts on the Website. AJIO shall at all times have the right to initiate appropriate legal proceedings against any website, entity or individual engaged in unauthorized publication of information pertaining to the Discounts. The Discounts are non-transferable and have no cash value.

3.6. Return of Products: Subject to paragraph 3 of AJIO's returns and refunds policy, if a User desires to return a Product or Products which have been purchased during the Term, and such return has been accepted by AJIO, the User shall be entitled to a refund of the exact amount paid by the User for purchase of the Product or Products on the Website. By way of example:

3.6.1. A User's order reflects the purchase of a single Product whose MRP is INR 2,000, with a Trade Discount of 25%, and a Voucher Discount of 15%, and the User pays a sum of INR 1,275 for purchase of the Product. Upon return of the Product in accordance with the MSS Policy, the User will be entitled to a refund of INR 1,275.
3.6.2. A User's order reflects the purchase of two Products: (a) the first Product whose MRP is INR 2,000, with a Trade Discount of 25%, and a Voucher Discount of 15%, totaling up to INR 1,275, and (b) the second Product whose MRP is INR 1,500, with no Discounts offered on the Website. Upon return of the first Product in accordance with the MSS Policy, the User will be entitled to a refund of INR 1,275. Upon return of the second Product in accordance with the MSS Policy, the User will be entitled to a refund of INR 1,500. Upon return of both the Products in accordance with the MSS Policy, the User will be entitled to a refund of INR 2,775.

3.7. By the User's participation in the Mid-Season Sale, the User agreed to indemnify and hold harmless AJIO, its affiliates, officers, directors, employees, consultants, licensors, agents and representatives from any and all claims including reasonable attorney fees and costs arising out of the User's participation in the Mid-Season Sale.
